These Terms of Service form the basis of our business relationship. They are designed to create a clear, transparent, and fair framework for our partnership, ensuring a smooth and successful collaboration on every project. By placing an order with Venture, you agree to these terms.

These terms exclusively govern our sales and supersede any other terms or conditions on any document issued by the client.

Quotations & Orders

Quotations: All quotations are valid for 30 days unless otherwise stated. Quotations are based on the specifications provided at the time of the request. Any changes to design, materials, or quantity may result in a revised quotation.

Order Confirmation: Orders are considered confirmed only upon our formal acceptance and are based on the final, mutually agreed-upon technical specifications and drawings.

Cancellations: Confirmed orders may be subject to cancellation fees, which will be calculated based on the costs incurred for materials procured and labor invested up to the point of cancellation.

Quality & Manufacturing

Manufacturing Standard: We manufacture all PCBAs to the IPC-A-610 Class 2 standard unless a different class is explicitly requested and agreed upon in the order.

Sample Approval: For production orders, we strongly recommend a sample approval process. Mass production will commence based on the approved sample’s standard. If the client waives sample approval, the client assumes responsibility for the production outcome based on the provided specifications.

Functional Testing: If functional testing is required, the client is responsible for providing complete and clear testing procedures, software, and any necessary testing jigs. Without a client-provided test method, we can only guarantee quality based on manufacturing and assembly standards (IPC).

Payment Terms

Payment Schedule: Standard payment terms for new clients are 100% upfront for first-time orders. For repeat clients, terms are typically a 50% deposit upon order confirmation and the remaining 50% balance prior to shipment, subject to credit approval. For other payment methods, please discuss with your sales representative.

Tooling & NRE: All tooling fees and Non-Recurring Engineering (NRE) costs must be paid 100% in advance before work can begin.

Late Payments & Title: Late payments are subject to an interest charge of 1.5% per month. We retain title to all products until payment is received in full.

Pricing: All prices are exclusive of any taxes, duties, and shipping charges.

Warranty & Liability

Limited Warranty: We offer a 12-month limited warranty on our workmanship from the date of shipment. This warranty covers defects arising from the assembly process.

Exclusions: This warranty does not cover defects resulting from design flaws, improper use, unauthorized modification, or component failures (unless components were procured by us from non-authorized channels at the client’s specific request).

Limitation of Liability: Our liability for any claim shall not exceed the total amount paid for the specific order. In no event shall we be liable for any indirect, incidental, special, or consequential damages (including but not limited to lost profits or business interruption).

Intellectual Property

If products are manufactured to your specifications, you guarantee that your designs do not infringe on any third-party intellectual property rights. You agree to indemnify us against any claims or losses arising from such infringement.

Delivery & Shipping

Delivery Terms: Our standard delivery term is FCA (Free Carrier) from our facility in Shenzhen, China, unless otherwise agreed.

Lead Time: All provided lead times are estimates and begin from the date of order confirmation and complete technical clarification. They are not guaranteed delivery dates.

Title and Risk: Title and risk of loss or damage to the products transfer to the client upon our delivery of the goods to the designated carrier.

Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, government action, pandemics, or catastrophic supply chain disruptions.
